Fásnua Rise Member Agreement

This Agreement (“Agreement”) is made between Fásnua, LLC (“Fásnua”) and the undersigned Member (“Member”) regarding participation in the Fásnua Rise Program (“Rise”).

1. Program Overview & Membership Benefits

Rise provides Members with a structured, 90‑day marketing strategy and planning program. Each Rise cycle is designed to produce a focused 90‑Day Marketing Plan that Member’s team (or partners) can execute.

Rise typically includes:

A context and capacity review of Member’s goals, current marketing, and available resources.
Two working sessions with Fásnua focused on designing and refining the 90‑Day Marketing Plan.
A written 90‑Day Marketing Plan document outlining projects, suggested owners, timelines, and simple success metrics.
Handoff guidance so Member can implement the plan internally, with existing partners, or with Fásnua’s Run program.

Benefits may evolve over time as Fásnua enhances Rise.

2. Working Sessions

a) Included Sessions

Each Rise cycle includes a set number of working sessions (typically two per 90‑day cycle) at no additional cost, unless otherwise stated at enrollment.

b) Booking

Sessions must be scheduled through Fásnua’s website or designated scheduling tool. Bookings outside the platform are not recognized.

c) Cancellations

If Member cancels less than 24 hours before a scheduled session, Fásnua may treat that session as used for the current Rise cycle.

3. Deliverables & Scope

Member agrees to:

Provide accurate information about goals, constraints, current activities, and resources.
Ensure appropriate team members attend working sessions and participate in decisions.
Review and provide feedback on draft plans within reasonable timeframes.

Delays in participation or feedback may delay or limit the usefulness of the plan and do not relieve Member of payment obligations.

4. Member Responsibilities

Member agrees to:

Provide accurate information about goals, constraints, current activities, and resources.
Ensure appropriate team members attend working sessions and participate in decisions.
Review and provide feedback on draft plans within reasonable timeframes.

Delays in participation or feedback may delay or limit the usefulness of the plan and do not relieve Member of payment obligations.

5. Relationship to Revel and Run

Rise may build on insights from Fásnua Revel (e.g., a defined marketing constraint and 90‑day focus) or on focus provided directly by Member. This Agreement covers only the Rise strategy program. Revel (focus) and Run (implementation) are governed by their respective agreements.

6. Confidentiality

Both parties agree to keep confidential any non‑public business, technical, or strategic information shared in connection with Rise and to use such information only for purposes of this engagement.

7. Intellectual Property

The specific 90‑Day Marketing Plan documents and custom written recommendations created for Member under Rise become Member’s property upon full payment, subject to the license below.
Fásnua retains ownership of all underlying frameworks, methodologies, templates, and tools, and grants Member a non‑exclusive, non‑transferable license to use the plan and related materials for Member’s own business purposes.

8. Membership Terms & Billing

Rise is billed at the fee and interval presented at checkout (e.g., per 90‑day cycle), by invoice, with payment due within the stated invoice terms.
There is an initial commitment of one 90‑day cycle. After that, Member may cancel before the next billing date; access to Rise benefits continues through the end of the paid period.
No refunds are provided for unused sessions or partial participation once a cycle has begun.

9. Performance Disclaimer; Promotional Guarantees

9.1 No Guaranteed Results

Except as expressly stated in any separate guarantee terms, Fásnua does not guarantee specific business results, revenue, lead volume, or performance. Member’s outcomes depend on many factors outside Fásnua’s control, including Member’s products, pricing, sales process, responsiveness, implementation, and market conditions.

9.2 Guarantee Offers

From time to time, Fásnua may offer a promotional guarantee tied to one or more memberships (“Guarantee Offer”). Qualifying members are entitled only to the remedies described in the separate Guarantee Offer terms. Those terms are governed solely by the written terms published on Fásnua’s website as of Member’s applicable enrollment date, which Fásnua may modify or discontinue at any time on a prospective basis. The existence of any Guarantee Offer does not waive, delay, or reduce Member’s obligation to pay Rise membership fees under this Agreement.

10. Limitation of Liability

To the fullest extent permitted by law, Fásnua’s total liability under this Agreement is limited to the Rise fees paid by Member to Fásnua in the three (3) months preceding the event giving rise to the claim. Fásnua will not be liable for any indirect, incidental, consequential, or special damages, including lost profits.

11. Termination & Modification

Fásnua may update or modify this Agreement from time to time. Reasonable notice will be provided, and continued participation in Rise after such notice constitutes acceptance of updated terms.
Either party may terminate this Agreement for material breach by the other party if such breach is not cured within thirty (30) days of written notice.
